Canvas USA® Affiliate Program Terms
Version 1.0 — DRAFT for review. Effective date to be set on approval.
These Terms govern participation in the Canvas USA® Affiliate Program (the "Program") operated by Canvas USA, Inc. ("Canvas USA®," "we," "us"). By applying to the Program, or by using an affiliate link or code we issue to you, you agree to these Terms. Capitalized terms not defined here have the meaning given in our Terms of Service.
1. What the Program is
The Program lets approved participants ("Affiliates") earn a commission on qualifying purchases made by customers they refer to our website through a tracked link or code we issue. Affiliates do not buy, hold or sell our products, do not set prices, and do not represent Canvas USA® in any capacity other than as an independent referrer. Customers referred through the Program are customers of Canvas USA®.
2. Eligibility and approval
Applications are open to individuals and businesses with an audience relevant to boating, outdoor living, home and patio, or marine and outdoor trades, and to content sites in those fields. Every application is reviewed and approved by a person. We may decline any application, and we may end a participation at any time under Section 11, in each case at our discretion. You must be at least 18 years of age, provide accurate information, and supply a completed IRS Form W-9 (or the applicable form for a non-U.S. person) before any payment is made.
Trade Partners, employees and contractors of Canvas USA®, and members of their households are not eligible for commission on their own purchases or on purchases made through a trade account.
3. Links, codes and tracking
On approval we issue you a unique tracked link and, where applicable, a code. A referral is attributed to you when a visitor reaches our website through your link and completes a qualifying purchase within the attribution window stated in your approval letter (the "Window"). Attribution is on a last-click basis: if a visitor arrives through more than one affiliate's link within the Window, the most recent link earns the commission. Attribution depends on the visitor's browser accepting our tracking cookie; we are not responsible for referrals that cannot be tracked because of browser settings, blockers or the visitor clearing their cookies.
4. Qualifying purchases and commission
A qualifying purchase is a completed, paid order placed on our website by a referred customer within the Window, less any amount refunded, returned, charged back or cancelled. Commission is calculated on the net merchandise value of qualifying purchases and excludes tax, shipping and handling, gift card purchases, purchases made with trade pricing, and your own purchases. Commission rates by product category, and any lead bounty for custom-quote requests, are stated in your approval letter and may be changed on 30 days' written notice; a change applies to purchases made after it takes effect.
Made-to-order products, including custom covers, tops, enclosures, awnings and cushions, are quoted individually and are not purchased in a single website visit. Referrals of these products are compensated, where your approval letter provides for it, by a fixed lead bounty on a qualified quote request and on a resulting order, rather than by a percentage commission.
5. Payment
Commission is accrued monthly and paid within 45 days after the end of the month in which the qualifying purchase was made, once the applicable return period has closed and provided your accrued balance meets the minimum payout stated in your approval letter. Balances below the minimum carry forward. Payment is made by ACH or PayPal to the account you register with us. You are responsible for all taxes on amounts we pay you. We will issue IRS Form 1099 where the law requires it.
6. What you may say about us
You may describe our products using the descriptions, specifications, warranty terms and imagery published on our website and in the materials we supply to you. You may not make any statement about our products, materials, country of origin, warranty, pricing or company that we have not published, and you may not offer any promotion, discount or guarantee that we have not authorized in writing. You may use the Canvas USA® name and logo only in the forms we supply, without alteration, and only to identify your participation in the Program. You may not register or use any domain name, social media handle or business name containing "Canvas USA" or a confusingly similar term.
7. Prohibited practices
The following end your participation immediately and forfeit unpaid commission:
• Bidding on "Canvas USA," our product names or misspellings of them in paid search, or directing paid traffic to our website through your link
• Posting your link or code on coupon, deal or cash-back sites, or distributing it by unsolicited email or message
• Cookie stuffing, forced clicks, iframes, redirects, incentivized clicks or any technique that records a referral the visitor did not knowingly make
• Misrepresenting yourself as Canvas USA®, an employee, a dealer or an authorized representative
• Placing our link on any site containing unlawful, infringing, hateful or adult content
• Using our trademarks, imagery or copy outside the forms we supply
• Any act that would breach our Website Terms of Use

8. Disclosure
You must clearly and conspicuously disclose your material connection to Canvas USA® wherever you place a link, code or recommendation, in the manner required by the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and any applicable state law or platform rule. A disclosure that is hidden, ambiguous or placed where a reader would not see it before acting does not satisfy this Section.
9. Independent relationship
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship, and you have no authority to bind Canvas USA®. You are responsible for your own costs, taxes and compliance with law.
10. Privacy
Information you provide in your application and in the Program is handled under our Privacy Policy. We do not share referred customers' personal information with Affiliates. Statements show order counts and commission amounts only.
11. Term and termination
These Terms apply from approval until ended. Either party may end participation on 15 days' written notice. We may end participation immediately for a breach of Sections 6, 7 or 8, or if the Program is discontinued. On termination you must remove all links, codes and Canvas USA® materials within 5 days. Commission properly earned before the notice date is paid in the ordinary course, except where participation ended under Section 7.
12. Changes to these Terms
We may change these Terms on 30 days' written notice to the email address on your account. Continuing to use your link after the effective date is acceptance of the change. Commission rates and the Window are stated in your approval letter and may be changed on the same notice.
13. Limitation of liability and disputes
Our total liability to you under the Program is limited to commission properly earned and unpaid. Sections 16 and 17 of our Terms of Service (governing law, dispute resolution and limitation of liability) apply to these Terms as if you were a customer, with the Program in place of a purchase.
14. Contact
Questions about the Program, your statement or these Terms: [email protected], or 1.888.341.1234 and ask for the trade desk. Written notices under these Terms go to the notice address in Section 21 of the Terms of Service.
