These Website Terms of Use are published by Canvas USA, Inc. ("Canvas USA®," "we," "us," "our") and govern your access to and use of our websites and online services (the "Website"), including everything we publish on them.
By using the Website you agree to these Website Terms. If you do not agree to them, please do not use the Website.

1) WHAT THESE TERMS COVER, AND WHAT THEY DO NOT
1.1 These Website Terms govern your use of the Website — browsing, searching, reading, using our tools, holding an account, and anything you post.
1.2 They do not govern what you buy. Every quotation, purchase, service and job we perform is governed by the Canvas USA® Terms of Service, together with the Canvas USA® Limited Warranty and the Returns Policy.
1.3 If these Website Terms and the Canvas USA® Terms of Service ever disagree about anything to do with your order, the Terms of Service win. Nothing on this page changes, adds to or takes away from your order.
1.4 Using the Website on its own does not create a purchase or service agreement between us.
2) WHO MAY USE THIS WEBSITE
2.1 The Website is offered to people who are 18 or older and located in the United States. By using it you confirm you meet both.
2.2 The Website is not directed to children under 13, and we do not knowingly collect personal information from them. If you believe a child has given us information, contact us and we will remove it.
2.3 You are responsible for anyone who uses the Website through your connection or your account.
3) CHANGES TO THESE WEBSITE TERMS
3.1 We may update these Website Terms. Changes take effect when we post them, and the version posted at the time you use the Website is the one that applies to that use.
3.2 This paragraph applies only to Website use. It does not change the rule in the Canvas USA® Terms of Service that the version in effect on the date of your order governs that order.
3.3 We may change, suspend or withdraw any part of the Website at any time. We will not be liable if any part of it is unavailable.
4) YOUR ACCOUNT
4.1 Some parts of the Website require an account. Everything you give us when you register must be accurate, current and complete, and you agree to keep it that way.
4.2 Your account is yours alone. Keep your password confidential, do not share it, and do not let anyone else use your account. You are responsible for everything done through it.
4.3 Tell us immediately if you believe someone has used your account without permission. Log out at the end of a session, particularly on a shared or public computer.
4.4 We may disable any account, at any time, if we believe these Website Terms have been broken.
5) FITMENT DATA, MEASURING GUIDES AND CALCULATORS
5.1 Read this section before you rely on anything we publish to size a product. We publish boat and motor fitment information, registration lookups, measuring guides, coverage and quantity calculators, configurators, dimensions and specifications to help you get started.
5.2 All of it is a starting point, not a guarantee of fit. Boats, motors, homes and outdoor structures vary between model years, between hulls of the same model, and after any modification, repower, rigging change or previous repair. Public registration and fitment records can be incomplete or out of date, and we do not control them.
5.3 You are responsible for your own measurements. Measure your own boat, motor or property, follow the measuring guide for the product, and check the figures before you order. Where you give us measurements, §5 of the Canvas USA® Terms of Service applies.
5.4 We do not warrant that fitment information, calculators or specifications are accurate, complete or current, and we are not responsible for a product that does not fit because the information you relied on was wrong or did not describe your particular boat or property. If you are not certain, ask us to measure or pattern it — that is what we are here for.
6) COLORS, FINISHES AND HOW THINGS LOOK ON A SCREEN
6.1 A color on a screen is not the color of the material. Fabric, vinyl, mesh, thread and paint photograph and display differently depending on your monitor, phone, browser, color settings and the light in the room.
6.2 Woven and dyed goods also vary between production runs, and outdoor materials change with sun and weather over time. Order a sample before you commit to a color.
6.3 We are not responsible for a color, sheen, texture or pattern that differs from what appeared on your screen.
7) PRICING, AVAILABILITY AND ERRORS
7.1 We work to keep prices, availability, lead times and descriptions accurate, but the Website may contain errors, and information may be out of date.
7.2 We may correct an error at any time, including after an order has been submitted. If a price or a material term was wrong, we will tell you before we proceed and you may confirm the corrected order or cancel it for a full refund.
7.3 Listing a product does not guarantee it is available, and we may limit quantities or decline an order.
8) OUR CONTENT AND HOW YOU MAY USE IT
8.1 The Website and everything on it — text, photographs, video, drawings, diagrams, measuring guides, product descriptions, specifications, catalog data, software, design, layout and their selection and arrangement — belongs to Canvas USA® or its licensors and is protected by copyright, trademark and other laws.
8.2 You may use the Website for your own personal, non-commercial purposes. You may print or download a reasonable number of pages for your own use, and your browser may cache pages normally.
8.3 You may not copy, reproduce, republish, distribute, sell, license, modify, adapt or create derivative works from any part of the Website, or remove any copyright or ownership notice, without our written permission.
8.4 You may not use any part of the Website for a commercial purpose, including reselling, republishing or incorporating our catalog data, descriptions, specifications, guides or imagery into another business's materials, website, marketplace listing or product feed.
9) TRADEMARKS
9.1 Canvas USA®, our logo, and our product, collection and service names are trademarks of Canvas USA, Inc. You may not use them without our written permission.
9.2 All other names, brands and logos on the Website belong to their respective owners. Where we name another manufacturer's brand or model, we do so only to identify the product our own goods are made to fit or to describe a product we resell. That use does not mean the other company makes, endorses, sponsors or is otherwise associated with our products.
10) PHOTOGRAPHS AND IMAGES
10.1 Photographs and video created by Canvas USA® — including images of customers' vessels, property and completed projects — are our property, as stated in §17 of the Canvas USA® Terms of Service.
10.2 Product images are representative. Options, hardware, colors and accessories shown may not be included in the price displayed. What is included is what your quotation or order says is included.
11) THINGS YOU MUST NOT DO
11.1 Use the Website only for lawful purposes. You must not use it in any way that breaks any federal, state, local or international law, or that could disable, overburden, damage or impair it, or interfere with anyone else's use of it.
11.2 No scraping. You must not use any robot, spider, crawler, script, harvesting tool or other automated or repetitive means to access, monitor, mine, capture or copy any part of the Website or its catalog, pricing, specifications, imagery or guides. This does not apply to a public search engine operating within the permissions set in our robots file.
11.3 You must not frame the Website, deep-link into non-public parts of it, or present it as your own.
11.4 You must not attempt to gain unauthorized access to the Website, any account, any server or any connected system; introduce a virus or other harmful code; or attack the Website by denial-of-service or any similar means.
11.5 You must not impersonate Canvas USA®, a member of our team, or anyone else, or send unsolicited advertising or bulk messages through the Website.
11.6 We may investigate and take action, including removing content, disabling accounts, and cooperating with law enforcement. Violations may carry civil or criminal liability.
12) REVIEWS AND ANYTHING ELSE YOU POST
12.1 Where we make reviews, questions, ratings, photographs or other interactive features available, anything you post through them is a "Contribution."
12.2 Contributions are not confidential. By posting one you grant Canvas USA® a non-exclusive, royalty-free, perpetual, worldwide, transferable license to use, reproduce, adapt, publish, display and distribute it, in any medium, including in our marketing.
12.3 You confirm the Contribution is yours to post, that it is accurate, and that it does not infringe anyone's rights.
12.4 A Contribution must not be unlawful, defamatory, obscene, harassing, hateful, deceptive or misleading; must not infringe any copyright, trademark, privacy or publicity right; must not contain anyone's personal or confidential information; and must not be advertising, a promotion or a solicitation.
12.5 You are responsible for what you post, not us. We do not review Contributions before they appear, and we may remove or edit any Contribution, or decline to post it, for any reason. We are not responsible for the content or accuracy of anything posted by a user.
13) COPYRIGHT COMPLAINTS
13.1 We respect intellectual property and expect the same. If you believe material on the Website infringes your copyright, send a written notice to our designated agent that includes: identification of the work you say is infringed; identification of the material you say is infringing and where it is on the Website; your contact details; a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent or the law; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner; and your signature.

13.3 We may remove material identified in a notice, and it is our policy to disable the accounts of repeat infringers.
14) LINKS TO OTHER WEBSITES
The Website may link to sites we do not control, including suppliers, manufacturers and other resources. Those links are for convenience. We are not responsible for their content, accuracy, security or practices, and a link is not an endorsement. If you follow one you do so at your own risk and under that site's terms.
15) WHERE THIS WEBSITE IS OFFERED
We operate the Website from Texas and offer it for use in the United States. We make no claim that it or anything on it is appropriate or available elsewhere. If you use it from outside the United States you do so on your own initiative and are responsible for complying with local law.
16) THE WEBSITE IS PROVIDED AS IS
16.1 THE WEBSITE AND EVERYTHING ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or other harmful code, or that any information on it is accurate, complete or current.
16.2 This Section is about the Website, not about anything you buy. It does not affect, limit or disclaim the Canvas USA® Limited Warranty, any manufacturer's warranty passed through to you, or any warranty on a product that cannot be disclaimed under applicable law.
16.3 You are responsible for your own virus protection and for keeping your own copies of anything you need.
17) LIMITATION OF LIABILITY FOR WEBSITE USE
17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, CANVAS USA® WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE WEBSITE — including lost profits, lost data, loss of use, or damage to your device.
17.2 Our total liability arising from your use of the Website will not exceed one hundred dollars ($100), or the amount you paid us for access to the Website, whichever is greater. Liability for anything you purchase is governed instead by §13 of the Canvas USA® Terms of Service.
17.3 Nothing in this Section limits liability that cannot be limited under applicable law, including for gross negligence or willful misconduct, and nothing in these Website Terms waives any right you have under the Texas Deceptive Trade Practices–Consumer Protection Act.
18) INDEMNITY
You will indemnify and hold Canvas USA® harmless from claims, losses, costs and reasonable attorney's fees arising from your use of the Website, anything you post, or your breach of these Website Terms — excluding our own gross negligence or willful misconduct, and excluding any right you cannot waive under applicable law.
19) DISPUTES, GOVERNING LAW AND VENUE
19.1 Federal Arbitration Act. This Section is governed by the Federal Arbitration Act, 9 U.S.C. §1 et seq.
19.2 Arbitration. Except as stated in §19.3, a dispute arising from your use of the Website is resolved by binding arbitration before the American Arbitration Association under its Consumer Arbitration Rules, in Aransas County, Texas. We will pay filing and arbitrator fees to the extent required so that the cost is not prohibitive to you.
19.3 Exceptions. Either of us may bring a qualifying claim in small claims court. We may seek injunctive relief in court to protect our intellectual property or to stop a breach of §11.
19.4 Class waiver. Claims are brought individually. No class, collective or representative proceeding, and no class arbitration. If this paragraph is held unenforceable as to any claim, this entire §19 is void as to that claim and it proceeds in the state courts of Aransas County, Texas.
19.5 Opt out. You may reject arbitration by written notice within 30 days of first using the Website, sent to Canvas USA, Inc., 1010 Business Highway 35 South, Rockport, Texas 78382.
19.6 Governing law and venue. Texas law governs, without regard to conflict of law principles. Any proceeding not in arbitration is brought exclusively in the state courts of Aransas County, Texas.
19.7 Where you have placed an order, the dispute terms in §16 of the Canvas USA® Terms of Service govern that order — including the county of the Canvas USA® location that wrote it — and this Section applies only to your use of the Website.
19.8 Time limit. A claim arising from your use of the Website must be brought within two (2) years after it accrues, or it is permanently barred.
20) GENERAL
20.1 Notices. Notices to Canvas USA® go to Canvas USA, Inc., 1010 Business Highway 35 South, Rockport, Texas 78382 and [email protected].
20.2 Entire agreement. These Website Terms and our Privacy Policy are the entire agreement between us about your use of the Website. Your purchases are governed by the Canvas USA® Terms of Service, as stated in §1.
20.3 Severability. If any provision is unenforceable the rest remains in effect — except that §19.4 does not sever, as stated in that paragraph.
20.4 No waiver. If we do not enforce a provision, that is not a waiver of it.
20.5 Assignment. You may not assign your rights or obligations under these Website Terms. We may assign ours freely.
20.6 Termination. We may suspend or terminate your access to the Website at any time, with or without notice.
20.7 Privacy. Your information is governed by our Privacy Policy.
